1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into between Immersive Brands Ltd, trading as EH Studio ("Disclosing Party") and the individual identified in this portal ("Receiving Party"), effective as of the date of electronic signature below.

2. Confidential Information

"Confidential Information" means any non-public business, technical, financial, or proposal-related information disclosed by the Disclosing Party, including the accompanying proposal document, whether disclosed orally, in writing, or electronically.

3. Obligations of Receiving Party

The Receiving Party agrees to:(a) hold all Confidential Information in strict confidence;(b) use it solely to evaluate the proposed engagement; and(c) not disclose it to any third party without the prior written consent of the Disclosing Party.

4. Exclusions

This Agreement does not apply to information that is or becomes publicly available through no fault of the Receiving Party, was already lawfully known to the Receiving Party, or is independently developed without reference to the Confidential Information.

5. Term

The confidentiality obligations under this Agreement shall remain in effect indefinitely from the date of signature, regardless of whether the parties proceed with any further engagement.

6. Electronic Signature

The Receiving Party agrees that an electronic signature captured through this portal constitutes a legally binding signature equivalent to a handwritten signature, together with the identity verification performed via one-time passcode.

7. Governing Law

This Agreement is governed by the laws of England and Wales, without regard to conflict-of-law principles.
